Mallinckrodt Pharmaceuticals has announced its intent to spin off its Specialty Generics business by the second half of 2019. The spin-off, if completed, will result in the independent company assuming the Mallinckrodt name, and it will be traded on the New York Stock Exchange, with its headquarters in the St. Louis, Mo., area. The name Mallinckrodt – and its historical values of quality, integrity and service – have long been associated with the Specialty Generics business’ St. Louis heritage. With approximately 1,600 employees globally, the newly spun company will include an acetaminophen business, a portfolio of both active pharmaceutical ingredients and generic finished dose forms of controlled substances and other drugs, a niche specialty generics development portfolio, a portfolio of third-party promoted and non-promoted branded drugs, and a strong U.S. manufacturing footprint.


This position reports to the Vice President, Legal and directly supports our Board of Directors related activities and all aspects of Mallinckrodt’s Corporate Secretary function in the U.S., including SEC filings, various general corporate, corporate governance and transactional matters, as well as, other assigned areas including employment and international support. This position will interact with all levels of management within the Company as well as with our Board of Directors and outside professionals.

This individual will also support the Vice President, Legal with the implementation of the Company’s corporate compliance programs, ensuring compliance with the laws and regulations. This role will champion an enterprise-wide culture of compliance and he or she will provide effective guidance to internal and external business partners. Polish and professionalism are a must to be successful in this role.

Essential Functions

  • Under the supervision of the Vice President - Legal, provides direct support for the Board of Directors (Board) related activities including: coordination of meetings, agendas, materials, logistics for the Directors and the Board calendar.

  • Drafts preliminary documents, agendas, policies and procedures under the guidance of the Vice President - Legal.

  • Plans and participates, as necessary, in reviews with senior management, coordinating, proofreading and compiling Board materials.

  • Identifies appropriate hotel, ground transportation providers, and restaurant sites for all meetings at various U.S. and international sites.

  • Partners with administrative staff, IT and security to provide support to all meeting attendees.

  • Coordinates additional functionality for annual meeting of shareholders.

  • Coordinates and/or provides all on-site services for all meetings of the Board and Board Committees.

  • Prepares and distributes all communications to Board members as requested by senior management, including but not limited to press releases and other notices as necessary.

  • Maintains working contact/relationships with Board members and their assistants.

  • Maintains Board attendance record.

  • Maintains Board meeting expense record, processes/coordinates payment of director fees.

  • Works with internal auditors to resolve questions/concerns with expenses associated with Board meetings.

  • Interacts with domestic service companies in order to ensure that documentation is drafted, executed and timely filed, including annual report filings, qualification and withdrawal documentation, name change documentation, as well as interaction with various Secretaries of State.

  • Drafts materials (e.g., resolutions and supporting documentation) for Board and shareholder meetings.

  • Responds to inquiries from Mallinckrodt and outside personnel regarding the above matters.

  • Assists with implementation, monitoring and auditing compliance policies to mitigate risks and help build upon our Company’s culture of compliance.

  • Maintains formalized documentation and reporting mechanism for audit findings and remediation plans.

  • Manages workflow with external vendors including: employee hotline, outside counsel, compliance tools and systems.

  • Assists the Vice President –Legal with labor and employment matters, as needed.

Minimum Requirements

Education / Experience / Skills:

  • Bachelor’s degree in paralegal studies preferred.

  • Five or more years of experience as a corporate paralegal with specific experience or knowledge in securities filings, Board coordination and compliance.

  • Prior experience working with Boards and senior management is preferred.


  • Strong understanding of how corporations work, including ownership, officers and directors and subsidiary structure.

  • Ability to respond to outside counsel requests for information and to coordinate internal processes.

  • Ability to prepare and maintain corporate minutes, records and related correspondence.

  • Exceptional polish and professionalism, including verbal and written communication skills.

  • Ability to exercise reasonable judgement and manage confidential information.

  • Highly organized and detail oriented.

  • Ability to prioritize work and meet deadlines.

  • Ability to work independently with minimal supervision.

  • Strong interpersonal skills.

  • Ability to perform well in a team environment.

  • Proficiency in Microsoft Word, Outlook, Powerpoint, Excel, BoardBooks and a WebEx system.

Organizational Relationship/Scope:

  • The ability to relate well with others and function in a team atmosphere is essential. The position will entail frequent contact with various personnel throughout the organization, including executives.

  • The position will require frequent contact with outside counsel, other professionals and service providers.

  • Minimal travel may be required.

  • This position is based in St. Louis, MO.
