Aegion Corporation is looking for an experienced Senior Counsel for our Corporate & Securities practice, to be based in Chesterfield, MO.

The position is responsible for supporting the legal needs of multiple business functions within Aegion Corporation (the "Company"), including corporate governance, entity management, securities compliance, mergers & acquisitions, intellectual property portfolio management, Board of Directors meeting organization and other corporate areas.

Responsibilities

Primary responsibilities are broad, and include the following major areas. This is intended to be a representative listing:

  • Prepares and reviews various legal instruments and documents at the Aegion corporate level, such as contracts, leases, licenses, purchases, sales, etc.

  • Securities Compliance

  • Periodic Filings: 10-K/10-Q, 8-K (earnings release, transcripts), Disclosure, Comment Letters, Section 16, EDGAR

  • Proxy Statement

  • SOX matters

  • Stock Administration: Blackout notices, Share Repurchase Programs, Form SD, Form S-8

  • Nasdaq compliance

  • Corporate & Board Governance

  • Board meeting preparation: agendas, materials and minutes

  • Participates in updates for Audit Committee, Compensation Committee, Governance Committee, Strategic Planning & Finance Committee

  • Maintains Board calendars, charters, and other Board documents

  • Director Compensation

  • Entity Management

  • Corporate information database

  • Organizational chart and subsidiary lists

  • Entity formations, changes, terminations, reorganizations

  • Annual resolutions, director and officer updates

  • Jurisdictional compliance

  • Tax/Treasury: intercompany agreements, intercompany financing transactions, repatriations

  • Mergers & Acquisitions

  • Manages acquisition, divestitures, mergers and joint ventures

  • Post-close: working capital calculations, purchase price adjustments, earn-outs, etc.

  • Intellectual Property (IP)

  • Annual IP reviews

  • Prepares and reviews license agreements and joint development agreements

  • Oversees legal requirements for IP portfolio, including patents, trademarks, domain names, etc. in conjunction with outside counsel's management of the IP portfolio.

  • Attends to miscellaneous legal questions and projects on a daily basis (as required).

  • Other duties as required.

Qualifications

MINIMUM QUALIFICATIONS

  • Juris Doctor (JD) degree required.

  • Current admission to a state bar association at the time of employment, and admission to the Missouri bar within six (6) months of employment (if not already admitted).

  • 7+ years of corporate and securities legal experience required; construction industry experience helpful.

  • Ability to read, analyze, and interpret an extensive variety of complex legal documents.

  • Experience defining problems, collect data, establish facts, and draw valid conclusions.

  • Ability to respond to highly sensitive inquiries.

  • Experience making effective and persuasive presentations to senior leaders on complex topics.

  • The successful candidate will have demonstrated experience of independently managing a diverse workload in a fast-paced environment. This position requires the ability to swiftly and efficiently analyze, turn over and manage projects to conclusion.

Work Environment: In performing the duties for this job, the employee will generally work in an office type environment but will occasionally be required to work in outside weather conditions (occasionally near job sites with moving vehicles and mechanical operations). Will be occasionally exposed to fumes or airborne particles. The noise level is usually moderate. Travel by automobile and airplane required (an average of 1-3 nights per month).
